Ownership and operation are being split
The Belgian Competition Authority did not unwind Live Nation's 2025 acquisition of Pukkelpop. Instead, it accepted commitments that separate the legal owner from the body making the festival's day-to-day and strategic decisions. The complete operation and related assets must transfer to an organization controlled by founder and chief executive Chokri Mahassine. That operator can later pass the exclusive operating rights to another party, but any successor must remain independent of Live Nation. The commitments last ten years and may be extended by five more if market conditions warrant. A dedicated monitoring trustee is responsible for checking implementation rather than leaving independence as a voluntary promise.
The protected decisions reach the fan experience
The official list is unusually broad. The independent operator controls artists and booking agents, programming, ticket and service prices, suppliers, staffing, venue, dates, duration, capacity, staging and management. Pukkelpop may still buy standalone services from Live Nation, but only on market terms and without exclusivity. For attendees, that means the practical identity of the festival—from who plays to what admission costs—cannot simply be integrated into Live Nation's other Belgian festival operations. For artists and competing agents, the structure is intended to limit the risk that ownership and booking power become one closed channel.
Closing the case was not a verdict of wrongdoing
The regulator investigated possible effects on quality, pricing and access to artists because Live Nation already operates Rock Werchter and Graspop Metal Meeting and also supplies booking services. It found the commitments sufficient to answer preliminary concerns and made them binding, allowing the proceeding to close. The decision expressly contains no infringement finding and no adverse admission by Live Nation or its affiliates. That distinction matters: the news is a durable governance remedy, not a competition conviction. The next test is practical compliance—whether Pukkelpop's operator exercises the promised freedom and whether the trustee or regulator identifies any breach over the coming decade.
